The same reasons that caused the earlier rejection still exist. Both people who "negotiated" the package are too closely linked to Elon and got substantially rich by being on the Board of Directors (sed court statement of Robyn Denholm).
It has no clause in it that forces Elon to work exclusively for Tesla. He is already a substantial owner of Tesla with 13% of all outstanding shares, so there's no requirement to incentivize him further with the promise of more shares.
