Market Chatter: Anthropic Seeks Shareholder Approval for Founder Voting Control

Amazon.com (AMZN)-backed Anthropic is targeting a structure that gives Chief Executive Officer Dario Amodei and his six co-founders collective voting control in most corporate matters, The Information reported Thursday, citing people familiar with the planning.

Under this arrangement, the co-founders will have combined voting power of 50.1% as long as three co-founders retain a minimum number of shares in Anthropic, an unnamed source told the news outlet.

Anthropic is seeking shareholders' approval to grant a special class of stock that would give this power to its co-founders, per the news report. However, the firm's Long-Term Benefit Trust, a group of non-shareholders, will still appoint a majority of the board, the news report said.

Its employees will likely serve as tie-breakers on some corporate issues using a special class of stock, two of the people told The Information.

Anthropic and Amazon did not immediately respond to an MT Newswires request for comment.
